The notes will bear interest, payable and reset quarterly, at a rate per annum equal to three-month LIBOR plus 3.75%. The notes are guaranteed by certain domestic subsidiaries of the company and secured by first-priority liens, subject to permitted liens, on substantially all of the assets of the company and the subsidiary guarantors other than accounts receivable and proceeds therefrom and leased real property, and subject to certain other exceptions.
The company intends to apply the net proceeds from the offering of the notes, together with available cash, cash equivalents and marketable securities on hand, to repay at maturity or otherwise retire its outstanding 4% convertible subordinated notes due February 1, 2007.
